Welcome to Budget Basket ("Budget Basket," "we," "us," or "our"). These Terms and Conditions (the "Terms") govern your access to and use of our website, applications, tools, features, content, data, and services (collectively, the "Platform").

By accessing or using Budget Basket, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

You represent that you are legally capable of entering into a binding agreement. If you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

Budget Basket is a price comparison, product discovery, grocery planning, budgeting, and related information platform. We may display product listings, product descriptions, stock or availability indicators, pricing information, promotions, retailer information, images, user tools, budgeting features, and links to third-party merchant websites.

Budget Basket does not sell the products listed by third-party merchants unless expressly stated otherwise. In most cases, purchases are completed on the retailer’s or merchant’s own website, app, or premises, and not through Budget Basket.

Prices, promotions, stock status, delivery options, and product availability may change rapidly and without notice.

While Budget Basket aims to keep information as accurate and current as possible, we do not guarantee that any listing, price, promotion, availability status, product description, image, unit price, basket total, recommendation, or comparison result is complete, accurate, current, or error-free at the time you view it.

The merchant’s website, physical store, or official sales channel is the final authority for the actual price, product details, fees, taxes, stock, availability, and purchase terms applicable to any purchase.

By using Budget Basket, you acknowledge and agree that:

• prices and availability may change rapidly;
• discrepancies may exist between Budget Basket and a merchant’s website or store;
• Budget Basket is not responsible for discrepancies between information displayed on our Platform and information shown by a merchant;
• you are responsible for verifying final pricing, availability, suitability, taxes, delivery charges, and purchase terms directly with the merchant before completing any transaction.

Information on Budget Basket is provided for general informational and convenience purposes only. Budget Basket does not warrant or guarantee:

• that any product will be available at any specific retailer or location;
• that any displayed price is the lowest available price;
• that any product information, nutritional information, ingredient information, packaging size, VAT/tax treatment, weights, measures, or unit conversions are accurate or complete;
• that any budgeting, savings, optimization, recommendation, or comparison feature will produce a particular outcome or fit your personal circumstances.

Any shopping, budgeting, or purchasing decision you make based on the Platform is made at your own risk.

Budget Basket may include affiliate links, sponsored placements, advertising relationships, promotional arrangements, referral partnerships, or other commercial relationships with retailers, brands, marketplaces, or service providers.

This means that Budget Basket may earn a commission, referral fee, advertising fee, or other compensation when users click through certain links, make purchases, sign up for services, or take other qualifying actions with a third party.

These arrangements may influence how products, retailers, or offers are displayed on the Platform. However, affiliate or advertising relationships do not constitute an endorsement, guarantee, or warranty by Budget Basket.

You acknowledge that third-party transactions are between you and the third party, and Budget Basket is not a party to those transactions unless expressly stated otherwise.

Certain features may require you to create an account. You agree to provide accurate, current, and complete information and to keep your account details updated.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity that occurs under your account;
• promptly notifying us of any unauthorized access, suspected breach, or misuse of your account.

We reserve the right to suspend, restrict, or terminate accounts in our sole discretion, including where we believe there has been a breach of these Terms, misuse of the Platform, suspected fraud, abuse, security concerns, or unlawful conduct.

You agree not to use the Platform in any way that is unlawful, harmful, fraudulent, abusive, or disruptive. Without limitation, you must not:

• use the Platform for any illegal purpose;
• interfere with or disrupt the operation, security, or availability of the Platform;
• attempt to gain unauthorized access to any portion of the Platform, systems, accounts, servers, databases, networks, or data;
• introduce malware, viruses, bots, worms, ransomware, spyware, or other harmful code;
• perform denial-of-service attacks, overload attacks, or any activity that places an unreasonable burden on our systems;
• impersonate any person or entity, or misrepresent your affiliation;
• submit false, misleading, or deceptive information;
• copy, harvest, scrape, crawl, index, mirror, extract, or collect content, price data, product data, images, metadata, or other data from the Platform by automated means without our prior written consent;
• use robots, spiders, scrapers, browser automation, data-mining tools, AI extraction tools, or similar technologies against the Platform without express written permission;
• bypass or attempt to bypass any rate limit, access control, robots exclusion, anti-bot measure, or security feature;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or trade secrets from the Platform, except to the extent prohibited by law;
• use the Platform to build or train a competing service, pricing database, commercial intelligence product, or derivative commercial dataset without our prior written permission.

All price data, product normalization work, categorization, matching logic, layout, databases, presentation layers, historical comparisons, retailer mappings, images where owned by us, code, and related outputs made available through the Platform are protected to the fullest extent permitted by law.

You may not copy, republish, redistribute, sell, license, sublicense, commercially exploit, or create derivative databases from our Platform or data unless we have given you express prior written consent.

We reserve the right to investigate, block, rate-limit, suspend, terminate, or pursue legal remedies against any person or entity that scrapes, copies, misuses, or exploits Platform data or harms our systems.

As between you and Budget Basket, Budget Basket owns or controls all right, title, and interest in and to the Platform, including our:

• website design and layout;
• text, graphics, branding, logos, trade names, trademarks, service marks, and brand assets;
• software, code, scripts, algorithms, interface designs, and backend systems;
• price scraping technology and collection methods;
• data structuring, product matching, categorization, and normalization processes;
• compilations, databases, analytics, historical records, comparison features, and original content;
• documentation, visual elements, icons, and other proprietary materials.

Nothing in these Terms transfers any ownership rights to you. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for personal, non-commercial use.

All third-party trademarks, logos, product names, store names, and brand assets remain the property of their respective owners. Their appearance on Budget Basket does not imply ownership by Budget Basket or endorsement unless expressly stated.

If you submit reviews, comments, suggestions, reports, votes, feedback, images, data, communications, or other content to Budget Basket ("User Content"), you grant Budget Basket a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise exploit that User Content for operating, improving, promoting, and protecting the Platform.

You represent that you have the necessary rights to provide any User Content you submit and that your User Content does not violate any law or third-party rights.

We may remove, refuse, edit, or restrict User Content in our discretion.

The Platform may link to third-party websites, apps, marketplaces, payment providers, retailers, delivery services, advertisers, or other services. Budget Basket does not control and is not responsible for third-party content, websites, policies, terms, services, pricing, availability, or business practices.

Your use of third-party websites and services is at your own risk and subject to the third party’s own terms and privacy practices.

To the fullest extent permitted by law, the Platform is provided on an "as is," "as available," and "with all faults" basis.

Budget Basket disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, quiet enjoyment, and freedom from viruses or harmful code.

We do not warrant that:

• the Platform will be uninterrupted, secure, or error-free;
• defects will be corrected;
• the Platform or servers are free of harmful components;
• any data, listings, recommendations, or outputs will be accurate, reliable, or suitable for your needs.

To the fullest extent permitted by law, Budget Basket and its founders, owners, affiliates, officers, directors, employees, contractors, licensors, service providers, and agents shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or other damages arising out of or relating to your use of, or inability to use, the Platform.

This limitation applies to damages arising from or relating to, without limitation:

• outdated, delayed, inaccurate, incomplete, or unavailable pricing information;
• product availability errors or stock discrepancies;
• promotions that have expired or changed;
• purchasing decisions made in reliance on Platform information;
• lost savings, lost profits, lost opportunities, lost data, lost business, or wasted expenditure;
• third-party retailer conduct or transactions;
• service outages, bugs, errors, interruptions, or security incidents.

Without limiting the foregoing, Budget Basket is not liable if a user purchases a product based on outdated or incorrect information shown on the Platform.

Where liability cannot be excluded by law, our total aggregate liability for all claims arising out of or relating to the Platform shall not exceed the greater of the amount paid by you to Budget Basket, if any, in the preceding twelve months, or the minimum amount permitted by applicable law.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you to the extent prohibited by law.

You agree to defend, indemnify, and hold harmless Budget Basket and its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your use or misuse of the Platform;
• your breach of these Terms;
• your violation of any law, regulation, or third-party right;
• your User Content;
• your unauthorized scraping, copying, or commercial exploitation of the Platform or its data.

We reserve the right, at any time and without liability, to suspend, restrict, disable, or terminate access to all or any part of the Platform, with or without notice, for any reason, including maintenance, upgrades, security issues, legal requirements, suspected fraud, misuse, abuse, or breach of these Terms.

We may modify, update, discontinue, add, or remove features, tools, data sources, services, content, retailer coverage, account features, pricing models, or functionality at any time, with or without notice.

Budget Basket may alter, amend, update, modify, or replace these Terms at any time in its sole discretion.

When we make changes, we may update the "Last Updated" date above and may provide additional notice where required by law. Your continued access to or use of the Platform after revised Terms become effective constitutes your acceptance of the updated Terms.

If you do not agree to any revised Terms, you must stop using the Platform.

Your use of the Platform is also subject to our Privacy Policy, where applicable, which forms part of this document and the policies governing your use of Budget Basket.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed and the remaining provisions shall remain in full force and effect.

No failure or delay by Budget Basket in exercising any right or remedy shall operate as a waiver of that right or remedy.

These Terms, together with any policies incorporated by reference, constitute the entire agreement between you and Budget Basket regarding your use of the Platform and supersede prior understandings relating to that subject matter.
